Articles of Association of

The Alpine Club of Pakistan

1.         DEFINITIONS
            In these Articles, unless the text otherwise required, the following expressions shall have the meaning respectively assigned to them, that is to say :-
I.          The ‘Club’ means the Alpine Club of Pakistan.
ii.          ‘Constitution’ means the Memorandum of Association and Articles of Association.
iii.         ‘Council’ means the Council of the Alpine Club of Pakistan.
iv.        ‘District Club’ means the Club of the Alpine Club of Pakistan established in a district or in an area falling under a Tribal Agency.
v.         ‘District Office’’ means an office of the Alpine Club of Pakistan established in a district or any area falling under a Tribal Agency.
vi.        ‘Rules’ means rules framed by the First Council and as amended from time to time by the subsequent Councils.
vii.        ‘Member’ means a person who subscribes to the objectives of the Club, has paid the appropriate subscription fee and has been enrolled by the Club as a member.

2.         NUMBER OF MEMBERS
            The Club for the purpose of Registration is declared to consist 10,000 members.

3.         PATRONS
            I.          The following shall be the patrons of the Club :-
                        1.         Chief of Army Staff.
                        2.         Chief of Naval Staff
                        3.         Chief of Air Staff

ii.        Subject to approval of the Council, a person who a lump sum of Rs. 5,000/ or more to the Club shall be registered as a Patron. A record of the names of Patrons and the amounts of donation paid by each shall be maintained by the Club.

4.         MEMBERS ENROLMENT

            I.          The Club shall, in accordance with the rules, enroll these persons as members who are in sympathy with the objectives of the Club.

            ii.         CLASSIFICATION OF MEMBERS
            The Club shall have the following categories of members :-

                        1.         Founder members
                        2.         Full members
                        3.         Honorary members
                        4.         Associate members

            iii.        FOUNDER MEMBERS.     The Founder Members consist of the signatories to the memorandum and Articles of Association of the Club and such other persons who are invited by the Council to become founder members and who do so before 15-5-78
            iv.        FULL MEMBER       Members elected as provided in the rules of management shall become Full Members.
            v.         HONORARY MEMBERS.  Eminent Mountaineers, Skiers and other lovers of mountains who can, or who have rendered services of exceptional value in furthering the objects of the Club may be nominated as Honorary Members for a specified period by the Council.
            vi.        ASSOCIATE MEMBERS.  Aspirants with interest in the objects of the Club may be admitted by the Council as Associate Members, while attaining requisite qualifications for election as Full Members

5.         SUBSCRIPTIONS

            I.          Founder Members.            Founder members shall pay as Entrance Fee of Rupees one hundred and an annual subscription of Rupees fifty.

            ii.         Full Members.          Full members shall pay an entrance fee of Rupees fifty, and an annual subscription of Rupees twenty five only.

            iii.        Honorary Members.           Honorary Members shall be exempted from the payment of any entrance fee or subscription.

            iv.        Associate Members.          Associate Members who have not attained their 27th Birth day shall pay half of annual subscription of the Full members and the others the same annual subscription as the Full members.

6.         PRIVILEGES AND LIABILITIES OF MEMBERS

            All members shall be entitled to attend the General Meetings of the Club and to vote on matters which are to be decided there at unless all sums presently payable by him to the Club irrespect of any matter; have been paid. All members will be entitled to use the Club’s installations, facilities, library, mountain lodges, ski runs, etc, and to hire mountaineering and skiing equipment, at such times and on such conditions as may be prescribed by the Council.

7.         REMOVAL OF MEMBERS
           
            Any member who is found by the Council to be not suitable to continue as a member of the Club may be removed from the membership of the Club. Before arriving at any finding as aforesaid the Council will give to the Member concerned a reasonable opportunity to disprove any allegations made against him in that connection.

8.         ANNUAL GENERAL MEETING

            I.          Annual General Meeting of all members of the Club will be convened by the Honorary Secretary at least once during every calendar year. Extraordinary general meeting of all the members may be called by the council to dispose of any special business and shall be called if requisitioned in writing by 25% of all the members of the Club.

 

            ii.         The annual general meeting of the Club shall transact the following business :-

            1.         Elect all members and office-bearers of the Club in accordance with the procedures laid down in the rules. Such elections shall take place annually.

            2.         Approve annual budget and work programme.

            3.         Approve the annual audited statement of accounts and the report of the Auditors.

            4.         Approve the appointment of Auditors and the fixation of their remuneration.

            5.         Approve the Rules and amendments thereof as framed and amended by the Council.

9.         COUNCIL     

            I.          The management of the Club shall vest in the council which apart from the First Council, shall be elected in the general meeting by simple majority vote. It shall consist of the following :-

4.         Honorary Treasurer
5.         Five members elected to the Council

10.       FUNCTION OF THE COUNCIL

            I.          The management and administration of the Club shall vest in the Council.
            ii.         Without prejudice to the generality of (I) above the Council shall have the power :-

1.         To appoint, dismiss or otherwise deal with the paid staff and determine the terms and conditions of their service;
2.         To appoint sub-committees or adhoc committees for any specific purpose. Members of such committees should be members of the Club and the Convenor of each sub committee shall be appointed from among the members of the Council;

3.         to incur expenditure on the affairs of and in connection with the realisation of the objectives of the Club;

4.         to frame rules for the management, administration, procedure of elections and my other matter connected with the Club. Such rules shall be placed before the General Meeting within three months of the registration of the Club for consideration and approval;

5.        to acquire or dispose of any property for and of the Club;

6.         to arrange expeditions and prepare the annual work programme;

7.         to define the functions of each of the office-bearers of the Council and make amendments in the same;

8.         to prepare the report of the audited statement of accounts;

9.         to prepare and approve the annual budget;

10.      to approve the affiliation of with Alpine Club of Pakistan, of any mountaineering, hiking, trekking and skiing Club on such terms and conditions as may be determined.

11.      To sustain the activities of a District Club of District office if it feels satisfied that these activities are determined to the objectives of the Club or tend to bring the Club into disrepute.

11.       QUORUM

            I.          The quorum of the meeting of the Council will be five members. If in a meeting of the Council the quorum is not available, the meeting will adjourn to the subsequent day and the quorum of that day will the members present in person. The Council shall meet at least once every four months.

12.       FILLING OF CASUAL VACANCY

            Any casual vacancy occuring in the Council shall be filled in by the Council for the remaining term from among the members of the Club provided that no Associate Members shall be co-opted.

13.       AUDIT

I.          The accounts of the Club and the District Club / offices, if any, shall be audited once a year by a Chartered Accountant appointed by the Council and approved in the general meeting of the Club.

ii.         The funds of the Club shall be deposited in a scheduled bank in the name of the Club and shall be operated upon and money drawn under the joint signatures of the Honorary Treasurer and either the President of the Council or in his absence the first Vice President.

14.       FUNCTIONS AND DUTIES OF OFFICE BEARERS
A)        PRESIDENT
            I.          The President shall be responsible for the smooth and efficient, working of the Club.

            ii.         He shall appoint, when necessary, committees for planning special projects and expeditions.

B).       VICE PRESIDENT

            In the absence of the President one of the Vice Presidents shall act as President.

C).       HONORARY SECRETARY

I.          He shall be incharge of the registered office of the Club.
ii.         He shall carry on all the business and affairs and conduct all the correspondence of the Club.
iii.        He shall decide time and place of regular meetings.
iv.        He shall be responsible to the committee for the proper care and custody of all the property.
v.         He shall have power to purchase, or acquire equipment and things as may be required on behalf of the executive.
vi.        He shall sign, draw, make, endorse, assign, transfer, issue or discharge any bills.

D).       HONORARY TREASURES

I.          He shall maintain book of accounts.
ii.         He shall maintain book of the property of the Club.
iii.        He shall maintain proper records of all income and expenditure and of the assets and liabilities of the Club.
iv.        He shall maintain register of members.
 
15.       GENERAL

15-a)   That the Alpine Club of Pakistan shall not make a donation or grants to or affiliate with any other charitable institutions/fund/trust which is not approved u/s 15D(1) of the Income Tax Act,.

15-b)   Amendments to these Articles of Association shall be effected by a special resolution passed by 3/4th majority of the members present in person or by proxy at an Extraordinary general meeting of the Club convened specially for this purpose in accordance with these Articles, provided that votes may be cast by proxy only by these members who may have their head offices at places outside the province.

15-c)   That the Alpine Club of Pakistan shall utilize its income and donations received by it during Honourable Secretary and shall never be affixed to any document except in the manner prescribed in a resolution of the Council or of the Club in General Meeting.

MEMORANDUM OF ASSOCIATION OF
THE ALPINE CLUB OF PAKISTAN

1.         The name of the Club shall be “THE ALPINE CLUB OF PAKISTAN”/

2.         The registered office of the Club shall be situated in the Province of Punjab.

3.         The objects of the Club shall be the promotion of good fellowship among lovers of mountains, of mountain climbing and skiing, of mountain exploration, generally throughout the world, and particularly in Pakistan, and of better knowledge of the mountains through literature, science, art and sport. To further these objects, the Club may do all, or any of the following:-

a.         Promote, organise and conduct mountain exploration, mountain climbing, skiing and related activities ;
b.         Organise, encourage and finance the visits of climbers, skiers, and mountain lovers from all over Pakistan ;
c.         Organise courses of instruction; set up and administer institutions for training amateur and professional climbers and skiers, and award appropriate certificates, prizes, diplomas, medals, and other marks of recognition and merit to those who attain prescribed standards of excellence.
d.         Maintain records of significant achievements in the fields of mountaineering and skiing.
e.         Maintain liaison with official and non-official organisations concerned with the same or similar objects in Pakistan and abroad.
f.          Raise funds by way of subscription, donations, feeds, endowments, investments and otherwise; and administer, hold and utilize the funds, property and assets for the objects of the Club;
g.         make necessary regulations and bye-laws for the management of the Club;
h.         to affiliate other mountaineering, hiking, trekking and skiing clubs on such terms and conditions as may be determined and;
i.          to sell, improve, manage, develop, exchange, lease or let, under lease, sublet, mortage dispose of turn to account or otherwise deal, all or any part of the property of the Club;
j.          to construct upon any premises acquired for the purposes of the Association, any building or buildings for the purposes of the Association and to akter, add to or remove any building upon such premises;
k.         to borrow or raise any moneys required for the purposes of the Association upon such terms and in such manner and on the such securities as may be determined, and in particulars by the issue of debentures charged upon all or any of the property of the Association;
l.          to establish and support, or aid in the establishment and support of funds, trusts and conveniences calculated to benefits, employee or ex-employees of the Association or the dependants or connections of such persons and to grant pensions and allowances;
m.        do all such acts as are incidental to and conducive towards the attainment of the objects of the Club.

4.         The Club shall be a non-profit earning organisation as defined in Section 15-d (I) of the Income Tax Act, 1922. The inco me and property of the Club whensoever derived shall be applied solely towards the promotion of the objects of the Club as set forth in this memorandum of Association, and no portion thereof shall be paid or transferred directly or indirectly by way of dividend or bonus or otherwise, however, by way of profit to the persons who at any time are or have been members of the Club or to any of them or to any person claiming through any of them provided that nothing herein contained shall prevent the payment in good faith of remuneration to any officers or servants of the Club or to any member thereof or other person in return for any services actually rendered to the Club, or the payment of interest on money borrowed from any member of the council.

5.         The liability of the members is limited.
6.         If upon winding up or dissolution of the Club, there remains after satisfaction of all its debts and liabilities, any property whatsoever, the same shall not be paid to or distributed amongst the members, but shall be transferred to some other institutions or institutions having similar objects, as may be determined by the Club at or before the time of dissolution.
7.         Every member of the Club undertake to contribute to the assets of the Club in the event of the same being wound up during the time that he is a member, or within one year afterwards, for payment of the debts and liabilities of the Club contracted before the time at which he ceases to be a member and of the costs, charges and expenses of winding up the same, and for the adjustment of the rights of the contributories amongst themselves such amount as may be required, not exceeding Rs. 50/-. we the following persons, founder Members of the Alpine Club of Pakistan, whose name and addresses are subscribed hereunder, are desirous of being formed into Association/Club in pursuance of this Memorandum of Association :-
